1. Important notice

The website available at www.spixi.io (the "Site") is operated by IXI Labs d.o.o. ("IXI Labs", "we", "us", "our"), a company registered in Slovenia.

These Terms of Use (the "Terms" or the "Agreement") define the responsibilities of IXI Labs and any person or entity ("you", "your") using the Site.

By accessing or using the Site you confirm that:

  • you have read, understood and agree to these Terms and our Privacy Policy, and
  • you are of legal age and have the capacity to enter into a binding agreement under applicable law.

If you do not agree to these Terms, you must not use the Site.

These Terms relate primarily to your use of the Site. Use of the open‑source Spixi software is also subject to the licences and notices published in the relevant repositories.

2. Changes to this Agreement and to our Site

We may amend these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Site after the changes take effect means you accept the updated Terms.

We may also update and change the Site from time to time. We do not guarantee that the Site, or any content on it, will always be available or uninterrupted. We may suspend, withdraw or restrict the availability of all or any part of the Site at any time.

You are responsible for ensuring that all persons who access the Site through your internet connection are aware of these Terms and other applicable terms and conditions, and that they comply with them.

3. Use of the Site and acceptable use

You may use the Site only for lawful purposes and in accordance with these Terms.

You must not:

  • use the Site in any way that violates any applicable law or regulation;
  • use the Site for any fraudulent or malicious activity;
  • attempt to gain unauthorised access to the Site, the server on which the Site is stored, or any server, computer or database connected to the Site;
  • knowingly introduce viruses, trojan horses, worms, logic bombs or other material that is malicious or technologically harmful;
  • attack the Site via a denial‑of‑service attack or a distributed denial‑of‑service attack;
  • use the Site in any manner that could damage, disable, overburden, or impair it or interfere with any other party's use of the Site.

If you breach this provision, we may immediately suspend or terminate your access to the Site and we may report the breach to the competent law‑enforcement authorities.

The Site is provided for general information and for domestic and private use. You agree not to use the Site for commercial purposes without our prior written consent.

4. Materials and content available on our Site

Unless otherwise stated, we (or our licensors) own all intellectual property rights in:

  • the Site,
  • the design and layout of the Site, and
  • all text, graphics, logos, images, and other material published on the Site (collectively, the "Content").

The Content is protected by copyright and other intellectual property laws and treaties. All such rights are reserved.

You may:

  • view the Site and its Content in your browser;
  • print off one copy, and download extracts, of any page(s) from the Site for your personal, non‑commercial use; and
  • draw the attention of others within your organisation to Content posted on the Site.

You must not:

  • modify paper or digital copies of any materials you have printed off or downloaded;
  • use illustrations, photographs, video or audio sequences separately from the accompanying text;
  • remove any copyright, trademark or other proprietary notices from copies of the Content;
  • use any part of the Content for commercial purposes without obtaining a licence from us or our licensors (you may contact us at support@spixi.io for such permissions).

Our status (and that of any identified contributors) as the authors of Content on the Site must always be acknowledged.

Although we make reasonable efforts to keep the information on the Site up to date, we make no representations, warranties or guarantees that the Content is accurate, complete or current.

5. Third‑party websites

The Site may contain links to third‑party websites or resources that are provided for your information only.

Such links should not be interpreted as approval, endorsement or recommendation by us of those websites or of any information you may obtain from them. We have no control over, and are not responsible for, the content, privacy policies or practices of any third‑party websites.

You are encouraged to review the applicable terms of use, privacy policies and other relevant policies of any third‑party websites you visit. Your use of those websites is at your own risk.

6. Disclaimer of warranties

To the fullest extent permitted by law, the Site and all Content are provided "as is" and "as available".

We do not make any representations or warranties, whether express or implied, regarding:

  • the availability, reliability, security or performance of the Site;
  • the accuracy, completeness or usefulness of any Content;
  • that the Site will be free from errors, defects, viruses or other harmful components;
  • that the Site will meet your requirements or expectations.

Any reliance you place on the Content is strictly at your own risk.

You are responsible for configuring your information technology, computer programs and platform to access the Site and for using your own virus protection software.

7. Limitation of liability

To the maximum extent permitted by applicable law, IXI Labs d.o.o., its directors, employees and affiliates will not be liable to you for any:

  • loss of profits, sales, business or revenue;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation;
  • business interruption;
  • loss or corruption of data;
  • any indirect, incidental, special or consequential loss or damage,

arising out of or in connection with:

  • your use of, or inability to use, the Site; or
  • your reliance on any Content displayed on the Site,

whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if foreseeable.

In any case where we are found liable to you, our total aggregate liability in respect of all claims arising out of or in connection with the Site and these Terms shall be limited to the amount (if any) you have paid us specifically to use the Site.

Nothing in these Terms excludes or limits our liability where such exclusion or limitation would be unlawful under the laws of the Republic of Slovenia (for example, liability for death or personal injury caused by our negligence or for fraud).

8. Use of Spixi software and open‑source licences

The Spixi software and related code are made available as open source, typically under the MIT licence or other licences specified in the relevant repositories.

  • The source code is available on our official GitHub repositories.
  • Your use of the software is governed by the applicable open‑source licence terms.
  • You must read and agree to the relevant licence before downloading, compiling or using the software.

Where there is any inconsistency between these Terms and an open‑source licence, the open‑source licence will govern your use of the software to the extent of the inconsistency.

Nothing in these Terms grants you any additional rights to the software beyond those expressly granted in the applicable licences.

9. No financial, investment or legal advice

The Site and the Spixi software may allow you to interact with the Ixian network and other blockchain‑based systems. Crypto‑assets and decentralised networks carry significant risk.

  • Information on the Site is provided for general informational purposes only and does not constitute financial, investment, legal or tax advice.
  • IXI Labs does not act as your financial adviser, broker, or fiduciary.
  • You are solely responsible for any decisions you make in connection with crypto‑assets or decentralised networks and for complying with all applicable laws.

You should do your own research and, where appropriate, consult qualified professionals before making decisions involving crypto‑assets or other high‑risk activities.

10. Indemnity

You agree to indemnify and hold harmless IXI Labs d.o.o., its directors, employees and affiliates from and against any and all claims, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your use of the Site; or
  • your breach of these Terms.

11. Termination and suspension

We may suspend or terminate your access to all or part of the Site at any time, with or without notice, if we reasonably believe that:

  • you have breached these Terms, or
  • such action is necessary for security, legal or operational reasons.

Upon termination, provisions of these Terms which by their nature should survive (including, without limitation, intellectual property, disclaimers, limitations of liability, indemnity and governing law) shall continue in full force and effect.

12. Governing law and jurisdiction

These Terms, their subject matter and their formation (and any non‑contractual disputes or claims arising out of or in connection with them or with your use of the Site) are governed by the laws of the Republic of Slovenia, without regard to conflict‑of‑law principles.

You agree that the courts of the Republic of Slovenia shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or your use of the Site.
